1. Acceptance of Terms

By accessing or using the PowerWAF service ("the Service") provided by Pyxsoft Computing Ltd. ("the Company", "we", "us"), you ("the User", "you") agree to comply with and be bound by these Terms of Service ("the Terms"). If you do not agree with any part of these Terms, you must not use the Service.

These Terms are governed by the laws of England and Wales. Where the Service is used by customers within the European Union, the applicable provisions of EU law shall also apply, including but not limited to the General Data Protection Regulation (EU) 2016/679 ("GDPR"), the UK GDPR, the Digital Services Act (EU) 2022/2065, and applicable consumer protection regulations.

2. Description of Service

The Service is a cloud-based Web Application Firewall (WAF) with Content Delivery Network (CDN), DDoS protection, and optional DNS management. The Service is designed to protect websites and web applications from security threats.

3. Account Registration

  • 3.1. You must provide accurate, current, and complete information during the registration process.
  • 3.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • 3.3. You must notify us immediately of any unauthorized use of your account.
  • 3.4. You must be at least 18 years of age or the age of legal majority in your jurisdiction to create an account.

4. Acceptable Use Policy

  • 4.1. Lawful Use Only. You may only use the Service to protect websites and web applications that operate in full compliance with all applicable laws and regulations, including EU law and the laws of the jurisdiction in which you operate.

  • 4.2. Prohibited Content. You shall not use the Service to protect, distribute, or facilitate access to websites or applications that contain or promote:

    • (a) Pornographic, sexually explicit, or obscene material;
    • (b) Content that depicts or promotes the sexual exploitation or abuse of minors (CSAM), in accordance with Directive 2011/93/EU;
    • (c) Content that incites violence, terrorism, or hatred against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic;
    • (d) Illegal gambling or unlicensed financial services;
    • (e) Sale or distribution of illegal drugs, controlled substances, or counterfeit goods;
    • (f) Phishing, fraud, scams, or other deceptive practices;
    • (g) Malware distribution, command-and-control infrastructure, or any other cybercriminal activity;
    • (h) Content that infringes upon intellectual property rights, including copyrights, trademarks, or patents;
    • (i) Any other content that is illegal under EU law or the laws of the jurisdiction in which the website operates.
  • 4.3. Prohibited Activities. You shall not:

    • (a) Use the Service to launch or facilitate cyberattacks, including but not limited to DDoS attacks, against any third party;
    • (b) Attempt to circumvent, disable, or interfere with the security features of the Service;
    • (c) Use the Service in a manner that could damage, overburden, or impair the Service infrastructure;
    • (d) Resell or redistribute the Service without prior written authorization from the Company;
    • (e) Use the Service to collect, store, or process personal data in violation of the GDPR or other applicable data protection laws.
  • 4.4. Enforcement. We reserve the right to investigate any suspected violation of this Acceptable Use Policy. If we determine, at our sole discretion, that a violation has occurred, we may immediately suspend or terminate the Service without prior notice or refund.

5. Payment and Billing

  • 5.1. Paid plans are billed in advance on a recurring basis (monthly or annually) as selected at the time of purchase.
  • 5.2. All fees are displayed in the applicable currency and are inclusive of VAT where required by law.
  • 5.3. You agree to pay all fees associated with your use of the Service as outlined in the pricing published on our website at the time of purchase.
  • 5.4. Failure to pay may result in suspension or termination of the Service.

6. Right of Withdrawal (EU Consumers)

  • 6.1. If you are a consumer within the European Union, you have the right to withdraw from a subscription within 14 calendar days from the date of purchase, without giving any reason, in accordance with Directive 2011/83/EU.
  • 6.2. To exercise your right of withdrawal, you must inform us by sending a clear statement to legal@powerwaf.com before the withdrawal period expires.
  • 6.3. If you have requested that the Service begin during the withdrawal period and subsequently exercise your right of withdrawal, you shall pay an amount proportional to the Service provided up to the point of withdrawal.
  • 6.4. Refunds will be processed within 14 days of receiving your withdrawal notice, using the same payment method used for the original transaction.

7. Subscription Cancellation and Refunds

  • 7.1. Cancellation. You may cancel your subscription at any time through the account management panel at cloud.powerwaf.com. Cancellation takes effect at the end of the current billing period.
  • 7.2. Refunds. Outside of the right of withdrawal described in Section 6, refunds are generally not issued for unused portions of a billing period. Exceptions may be considered at the Company's discretion.
  • 7.3. Billing Disputes. You must report any billing disputes within 30 days from the date of the charge. Contact us at legal@powerwaf.com with details of the disputed charge.

8. Data Protection and Privacy

  • 8.1. We process personal data in accordance with the GDPR, the UK GDPR, and our Privacy Policy.
  • 8.2. To the extent that the Service processes personal data on your behalf, the Company acts as a data processor under the GDPR. You remain the data controller for any personal data processed through your use of the Service.
  • 8.3. You are responsible for ensuring that your use of the Service complies with all applicable data protection laws, including obtaining any necessary consents from data subjects.

9. Intellectual Property

  • 9.1. All intellectual property rights in the Service, including software, documentation, trademarks, and branding, belong exclusively to Pyxsoft Computing Ltd.
  • 9.2. The Service is licensed to you on a non-exclusive, non-transferable, revocable basis for the duration of your subscription.

10. Termination of Service

  • 10.1. The Company may suspend or terminate your access to the Service immediately and without prior notice if:
    • (a) You violate the Acceptable Use Policy (Section 4);
    • (b) You fail to pay applicable fees;
    • (c) Your use of the Service poses a security risk to the Company or other users;
    • (d) Continued provision of the Service would be unlawful.
  • 10.2. Upon termination, your right to use the Service ceases immediately. The Company is not obligated to retain any data associated with your account after termination.
  • 10.3. You may terminate your account at any time by contacting us at legal@powerwaf.com.

11. Disclaimer of Warranties

  • 11.1. The Service is provided "as is" and "as available" without any warranty, express or implied, to the maximum extent permitted by applicable law.
  • 11.2. The Company does not warrant that the Service will be error-free, uninterrupted, or completely secure. No security solution can guarantee absolute protection against all threats.
  • 11.3. Nothing in these Terms excludes or limits warranties that cannot be excluded or limited under applicable EU or UK law.

12. Limitation of Liability

  • 12.1. To the maximum extent permitted by applicable law, the Company's total aggregate liability arising out of or in connection with the Service shall not exceed the total fees paid by you during the twelve (12) months preceding the event giving rise to the claim.
  • 12.2. The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • 12.3. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable EU or UK law.

13. Changes to Terms of Service

  • 13.1. The Company reserves the right to modify these Terms at any time. Material changes will be communicated at least 30 days in advance via email or through a prominent notice on our website.
  • 13.2. Your continued use of the Service after the effective date of the changes constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and cancel your subscription.

14. Communication

  • 14.1. We will communicate with you via the email address associated with your account. It is your responsibility to keep this contact information up to date.
  • 14.2. You consent to receiving service-related communications electronically, including notices about changes to these Terms, billing, and security incidents.

15. Governing Law and Dispute Resolution

  • 15.1. These Terms are governed by and construed in accordance with the laws of England and Wales. Where you are a consumer in the EU, you shall also benefit from any mandatory provisions of the law of your country of residence.
  • 15.2. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved amicably. If no agreement is reached, disputes shall be submitted to the competent courts of England and Wales, without prejudice to any mandatory consumer jurisdiction rules that may apply.
  • 15.3. If you are a consumer in the EU, you may also use the European Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
